1. Acceptance of Terms
1.1 By visiting our website, sending inquiries, requesting quotations, placing bulk orders, requesting samples and communicating with our sales team via WhatsApp, Email, Facebook or other channels, you confirm that you are a legal business buyer (distributor, wholesaler, retailer, importer) and fully accept all clauses of these Terms of Service.
1.2 If you disagree with any content herein, you must stop all inquiries, sample applications and order cooperation with us immediately.
1.3 These Terms together with our Privacy Policy and Cookie Policy constitute the complete legal agreement between Guizhou Zhaodun Intelligent Technology Co., Ltd. (hereinafter “Seller”) and you (hereinafter “Buyer”).
2. Product Description & Quotation Rules
2.1 All product pictures, parameters, sizes, colors and prices displayed on the website are for reference only, including imitation copper padlocks, rectangular padlocks and auto spare parts. They do not constitute a legally binding sales offer.
2.2 Formal written quotation will be issued within 24 working hours after receiving your detailed demand, covering product model, unit price, MOQ, trade term (Incoterms 2020), production lead time, sample cost and shipping expense.
2.3 Each quotation is valid for 30 calendar days from the issuing date. After expiration, prices, raw material cost and production schedule will be recalculated without prior notice.
2.4 Price adjustment right: The Seller reserves the right to adjust unit prices due to fluctuation of metal raw materials, exchange rate, labor cost and international logistics cost before formal order confirmation.
2.5 MOQ (Minimum Order Quantity): Different MOQ standards apply to padlocks and auto parts, which shall be clearly marked on the quotation sheet. Small orders below MOQ will generate extra mold, production and handling fees.
3. Sample Service
3.1 Buyers can apply for samples of imitation copper rectangular padlocks and auto accessories. Sample cost and international freight shall be fully borne by the Buyer.
3.2 After the Buyer places a formal mass order reaching the agreed quantity, we may deduct the sample fee from the order payment as a preferential policy, subject to written confirmation on PI.
3.3 Sample production cycle: 3–7 working days after receiving sample payment. Minor color difference or tiny texture gap between samples and mass goods is normal due to electroplating, stamping and painting technology, not regarded as quality defect.
4. Order Confirmation & Payment Terms
4.1 An official Proforma Invoice (PI) will be issued after both parties confirm quotation details. The order shall take legal effect only after the Buyer pays the agreed deposit.
4.2 Standard payment terms: 30% T/T deposit for production arrangement; 70% balance paid before shipment against copy of Bill of Lading. Other payment methods (Irrevocable L/C at sight) can be negotiated separately in writing.
4.3 All transactions are settled in USD. All bank transfer charges, intermediate bank fees and overseas handling fees shall be undertaken by the Buyer.
4.4 If the Buyer delays deposit payment over 15 working days after PI issuance, the Seller has the right to cancel the reserved production schedule and void the quotation price.
4.5 After mass production starts, if the Buyer requests order cancellation or quantity reduction unilaterally, the deposit will not be refunded to cover raw material loss and production labor cost.
5. Production, Packaging & Shipment
5.1 Standard production lead time: 20–30 working days upon deposit receipt; customized OEM/ODM padlocks and auto spare parts take 30–40 working days. Delivery time is only an estimated schedule, not a rigid liability clause.
5.2 Trade terms follow Incoterms 2020, mainly FOB main China ports (Shanghai, Ningbo, Guangzhou). Freight, marine insurance, destination port customs clearance, import tax and local delivery fees at destination are all Buyer’s responsibility under FOB term.
5.3 The Seller will conduct full QC inspection before loading, including appearance of imitation copper plating, lock opening function, dimensional tolerance of rectangular padlocks and auto part fitting performance.
5.4 Standard export neutral packaging is free; customized color boxes, brand printing, special cartons will generate extra packaging cost, which shall be confirmed in advance on PI.
5.5 Risk transfer: Under FOB terms, all loss, damage, theft risk of padlocks and auto spare parts transfers to the Buyer once goods are loaded onto the vessel at departure port.
6. Quality Claim & After-sales Warranty
6.1 The Buyer must inspect goods within 15 calendar days after container arrives at destination port. Any quality, quantity or packaging discrepancy must be reported to us in writing with clear photos, videos, batch number and B/L copy within this period. Overdue claims will not be accepted.
6.2 Warranty scope: Normal functional failure of padlock lock cylinder, auto parts structural defects under standard installation and normal use within 6 months after shipment date.
6.3 Exclusions of free after-sales service:
- Scratches, discoloration, collision damage caused by sea transportation, improper storage or violent use
- Artificial modification, disassembly, wrong installation leading to failure
- Electroplating slight color difference of imitation copper padlock (industry normal phenomenon)
- Loss caused by Buyer’s incorrect order specification confirmation 6.4 For confirmed mass quality problems caused by Seller’s production, we will arrange free replacement in the next order or negotiate partial compensation; we do not support full return of delivered goods due to high international round-trip logistics cost.
7. Intellectual Property
7.1 All website texts, product photos, design drawings, logos and technical descriptions of rectangular padlocks, imitation copper locks and auto accessories are the exclusive intellectual property of Guizhou Zhaodun Intelligent Technology Co., Ltd. Unauthorized copying, downloading, editing and commercial reprinting are prohibited.
7.2 OEM private mold developed exclusively for the Buyer shall not be used for third-party production without Buyer’s permission; the Buyer shall bear all legal risks if their customized pattern, trademark involves third-party intellectual property infringement.
8. Website Usage Rules
8.1 The website is only for commercial wholesale inquiry of padlocks and auto parts. Automated crawler, data scraping, malicious attack and illegal intrusion are forbidden. We reserve the right to block IP address of violating visitors.
8.2 The collection, storage and usage of Buyer’s company, contact and transaction information are governed by our independent Privacy Policy and Cookie Policy, which are incorporated into these Terms.
9. Force Majeure
The Seller shall not be liable for delivery delay or order loss caused by uncontrollable factors beyond reasonable expectation, including natural disasters, port congestion, international logistics suspension, raw material supply interruption, national export policy adjustment, epidemic and war events. We will inform the Buyer of delay situation in a timely manner and negotiate new delivery schedule.
10. Policy Revision
We reserve the right to revise these Terms of Service according to international trade laws, product business adjustment and overseas data compliance requirements. Updated clauses will be posted on website footer with new update date. Continuous website browsing and order cooperation after revision means you accept the updated terms.
11. Governing Law & Dispute Resolution
11.1 These Terms are governed by the laws of the People’s Republic of China.
11.2 Any dispute arising from inquiry, sample cooperation and mass order transaction shall first be resolved through friendly negotiation between both parties. If negotiation fails, disputes shall be submitted to the people’s court located in Guizhou Province where the Seller is registered for litigation resolution.
